Company formation or branch registration

Among all types of legal entities the main business vehicle is Liability Limited Company (sometimes referred to as LLPs). A potential shareholder is expected to provide the following documents for the process of Kazakh company registration: the certificate of incorporation, the articles of association, its decision to incorporate a Kazakh entity and a power of attorney issued to local representatives. The documents have to be legalised or apostilled (The Hague Convention 1961).

The process of registering a branch or representative office in Kazakhstan slightly differs from setting-up a Kazakh company. We strongly recommend to foreign legal entities that are intending to register a branch or representative office in Kazakhstan to consider tax implications so long as a branch or representative office does constitute a permanent establishment under the local tax rules.

Legal address

So far as provision of a legal address is part of the Kazakh company formation process we also provide such service until the client has found suitable office. The legal address is available at business district of Almaty.

Bank account

At the client’s request we assist in bank account opening process in any commercial bank of Kazakhstan.

Accounting services

It is compulsory to keep books of account under Kazakhstan law. This service includes accounting of all financial operations.

Tax reporting

We obtain online tax reporting key, submit quarter and annual reports to the tax authorities during first fiscal year, provided that the company has not commenced active business.

Management services

In course of our main services of accounting and tax compliance we are also providing a management service of a Kazakh business. For particular companies it is necessary to have a presence in Kazakhstan or to keep their business alive even when there are low or no operational activities.

We have experience of managing of such businesses for years – filing tax reports, paying taxes and salaries, renting an office, and providing other administrative support. A client does not have to spend money and time for performing of such activities by its own employees and in the same time can have functional business in the country.
